According to Article 23 of the Law on Enterprises 2020, a business registration application must include:
- The name of the enterprise
- Head office address, telephone number, fax number, and email address (if any)
- Business lines
- Charter capital and investment capital of the sole proprietor (if applicable)
- Types of shares, par value, and total number of shares for joint-stock companies
- Tax registration information
- Expected number of employees
- Personal information and legal documents of individuals for sole proprietorships and general partners in partnerships, or of legal representatives of limited liability companies or joint-stock companies.
Specifically, providing a phone number is mandatory in the business registration application, whereas fax and email numbers are not required. According to Article 1 of Decree No. 01/2021/ND-CP, enterprises must include phone number information when registering or notifying changes in business registration content. Failure to provide this information will render the application invalid.
Enterprises are not allowed to change the phone number on their business registration certificate in the following circumstances:
- Upon receipt of a Notice of Violation from the Business Registration Office or if a decision has been made to revoke the Enterprise Registration Certificate.
- During the process of dissolution, as per the dissolution decision.
- When requested by a Court, Judgment Enforcement Agency, or Investigating Agency under the Criminal Procedure Code.
- When the enterprise is listed as "No longer doing business at the registered address."
Enterprises may proceed with changing their phone number in the following cases:
- After taking remedial measures as required by a Notice of Violation and receiving acceptance from the Business Registration Office.
- When updating registration information to complete the dissolution dossier, accompanied by a written explanation.
- With written approval from relevant organizations or individuals as requested.
- When transitioning from an "Inactive" status to an "Active" status.
Enterprises must update their phone number in accordance with Clause 2, Article 63 of Decree No. 01/2021/ND-CP:
- Update and Supplement Information: If the change does not alter the content of the Enterprise Registration Certificate, the enterprise should notify the Business Registration Office. The Office will update the information in the dossier and the National Business Registration Database without charging a fee.
- Changes in Certificate Content: If the change affects the content of the Certificate, the enterprise must submit a notice of change to the Business Registration Office to receive a new Certificate.
Documents to be Prepared:
- Notice of changes in enterprise registration contents (according to Appendix II-1 of Circular No. 02/2019/TT-BKHDT).
- Decision regarding the change of business registration information.
- Minutes of the meeting of the Board of Members/General Meeting of Shareholders (if applicable).
- Power of Attorney (if needed).
Procedure:
1. Submission of Dossiers: Enterprises should submit the dossier to the Business Registration Office of the Department of Planning and Investment in the province or city where the head office is located or through the National Business Registration Portal.
2. Processing the Dossier: The Business Registration Office will verify the dossier's validity and update the information in the National Enterprise Registration Database.
3. Receiving the Result: If the dossier is valid, the Business Registration Office will issue a new Enterprise Registration Certificate. The enterprise must also publish the updated information on the National Portal to avoid fines ranging from 1,000,000 VND to 2,000,000 VND.
Processing Time: 3-5 working days after receiving a complete dossier.
